These Terms & Conditions govern the use of services provided by Brainotek (“we”, “us”, or “our”), an IT service provider. By accessing or using our services, you agree to comply with these Terms. If you do not agree with these Terms, please refrain from using our services.
1. Service Provision
1.1. We provide various IT services including but not limited to WordPress development, E-commerce solutions, digital marketing, and graphics design.
1.2. Our services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service and reserve the right to modify, suspend, or discontinue services at any time without prior notice.
2. Client Responsibilities
2.1. Clients must provide accurate and complete information necessary for the provision of services.
2.2. Clients are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
3. Payment Terms
3.1. Payment for services rendered is due according to the terms outlined in the respective service agreement or invoice.
3.2. Failure to make timely payments may result in suspension or termination of services.
4. Intellectual Property
4.1. All intellectual property rights associated with the services provided by Brainotek, including but not limited to software, designs, and content, remain the property of Brainotek or its licensors.
4.2. Clients retain ownership of any intellectual property rights related to their content or materials provided to Brainotek for use in the provision of services.
5. Limitation of Liability
5.1. In no event shall Brainotek be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services.
5.2. Our total liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the client for the services rendered during the preceding twelve-month period.
6. Confidentiality
6.1. Both parties agree to maintain the confidentiality of any confidential information disclosed during the provision of services.
6.2. Confidential information shall not be disclosed to any third party without the express consent of the disclosing party.
7. Termination
7.1. Either party may terminate the agreement upon written notice if the other party breaches any material term of these Terms and fails to remedy such breach within a reasonable period.
7.2. Upon termination, the client is responsible for payment of any outstanding fees for services rendered.
8. Modification of Terms:
8.1. Brainotek reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the modified Terms.
